1. Introduction and Acceptance

Welcome to Section 4 Solutions.

These Terms of Use ("Terms") govern your access to and use of the Section 4 Solutions website, digital content, enquiry channels and information presented through our online platforms.

They also establish general terms applicable to enquiries and prospective engagements with Section 4 Solutions.

Section 4 Solutions provides technology and digital services, including:

  • Website design and development.
  • Web application development.
  • Software engineering.
  • Mobile application development.
  • Artificial intelligence engineering.
  • Business process automation.
  • Systems engineering and integration.
  • Cloud infrastructure.
  • Database design and management.
  • Technology consulting.
  • Technical support and maintenance.

By accessing or using our website, you agree to these Terms.

If you do not agree with these Terms, you should discontinue use of the website.

Specific services, subscriptions and development projects may also be governed by separate quotations, invoices, service agreements, subscription agreements or statements of work. Where a signed or expressly accepted agreement contains terms that conflict with these general Terms, the specific agreement will take precedence for the relevant service.

2. About Section 4 Solutions

References to "Section 4", "we", "our" or "us" mean Section 4 Solutions.

References to "you", "your" or "customer" mean any individual, business or organisation accessing our website or engaging our services.

3. Use of Our Website

You may use our website for lawful purposes, including:

  • Learning about our services.
  • Reviewing our products and subscription options.
  • Requesting quotations.
  • Submitting project enquiries.
  • Contacting our team.
  • Reading articles and other published content.

You agree not to:

  • Use the website for unlawful or fraudulent purposes.
  • Attempt to gain unauthorised access to our systems.
  • Interfere with website functionality or security.
  • Introduce malicious software, scripts or harmful code.
  • Attempt to disrupt or overload our infrastructure.
  • Scrape, copy or extract website information through unauthorised automated means.
  • Misrepresent your identity or business.
  • Use our website to distribute spam or unlawful content.
  • Infringe our intellectual property or the rights of other parties.

We reserve the right to restrict or suspend access where we reasonably believe these Terms have been violated or our systems are at risk.

4. Website Information and Service Descriptions

We make reasonable efforts to ensure that the information on our website is accurate and current.

However:

  • Service descriptions are general information.
  • Images, demonstrations and interface previews may be illustrative.
  • Features shown in demonstrations may not be included in every service package.
  • Availability of specific technologies and integrations may depend on third-party providers.
  • Pricing and product specifications may change.
  • Advertised starting prices are not guaranteed final quotations.

Nothing on our website should be interpreted as a binding offer to deliver a specific project unless confirmed in a formal quotation, subscription agreement or other accepted contractual document.

5. Enquiries, Quotations and Project Approval

Submitting an enquiry through our website, email, telephone or another communication channel does not automatically establish a service contract.

Our general engagement process is:

  1. You provide information about your requirements.
  2. We review your enquiry and may request additional details.
  3. We discuss the proposed solution and scope.
  4. We prepare a quotation, proposal or service agreement.
  5. You review and accept the applicable commercial terms.
  6. Any required initial payment is made.
  7. Work begins according to the agreed schedule.

A project is considered approved when the relevant quotation, proposal, agreement or order is accepted in the agreed manner.

We reserve the right to decline enquiries or projects that fall outside our capabilities, availability or acceptable business practices.

6. Subscription Services

Section 4 Solutions may offer selected digital products through monthly or annual subscription arrangements.

These may include:

  • Portfolio websites.
  • Business websites.
  • E-commerce websites.
  • Booking and reservation websites.
  • Other standardised digital platforms introduced by us.

Subscriptions provide access to an agreed digital solution under the conditions stated in the applicable subscription quotation or agreement.

6.1 Advertised Starting Prices

Prices displayed on our website are starting prices and are expressed primarily in United States Dollars (USD).

The final price may depend on:

  • Required functionality.
  • Website or application complexity.
  • Number of standard content pages.
  • Setup and configuration requirements.
  • Branding and design requirements.
  • Integrations.
  • Product or content volume.
  • Hosting and infrastructure requirements.
  • Additional support or maintenance requirements.
  • Other agreed services.

Alternative currency arrangements may be available by agreement.

Any applicable exchange rate, currency conversion, payment charges or quotation validity period will be communicated before the relevant payment is made.

6.2 Subscription Fees and Billing

Subscription fees, billing frequency, payment dates and payment methods will be specified in the applicable quotation or subscription agreement.

Depending on the arrangement, subscriptions may be billed monthly or annually.

An initial setup or configuration fee may apply.

Any waiver, reduction or promotional arrangement relating to setup fees must be confirmed in writing.

Our current enquiry-led sales process involves manually prepared quotations and invoices. A subscription does not automatically begin merely because you submit an enquiry.

6.3 Subscription Activation

A subscription becomes active once the relevant agreement has been accepted and the required initial payments have been received, unless another arrangement is expressly agreed in writing.

Implementation and delivery timelines will be confirmed separately.

6.4 Renewals

Subscriptions may renew at the end of each agreed billing period, subject to the renewal terms in the applicable agreement.

We will communicate applicable renewal fees and payment arrangements.

Any changes to subscription pricing or scope will be communicated in accordance with the relevant agreement and applicable law.

6.5 Late Payments

Where a payment becomes overdue, we may:

  • Send payment reminders.
  • Request settlement of outstanding amounts.
  • Temporarily restrict access to relevant services.
  • Suspend hosting, maintenance or support where contractually permitted.
  • Take other lawful steps to recover outstanding amounts.

We will make reasonable efforts to notify customers before suspending services, except where immediate action is necessary for security, legal or operational reasons.

Suspension does not automatically cancel outstanding payment obligations.

6.6 Changes to Subscription Scope

Customers may request additional pages, functionality, integrations, design changes or other modifications.

Work outside the included subscription scope may be quoted separately.

We will seek approval of additional costs before commencing chargeable additional work.

7. Content Editing and Routine Updates

Selected website subscription plans include a monthly content-editing allowance.

Unless the applicable quotation states otherwise, the standard allowances are:

Subscription planMonthly editing allowance

  • Updating contact information.
  • Updating business hours.
  • Changing existing prices or service information.

  • Minor content adjustments.

7.2 Excluded Work

The included editing allowance does not automatically cover:

  • Bulk catalogue or product uploads.
  • New branding or graphic design projects.
  • Software development.

Such work may be quoted separately.

7.3 Unused Editing Time

Unused editing time does not roll over to subsequent months unless expressly agreed in writing.

Editing requests are subject to reasonable scheduling and the applicable support arrangements.

The editing allowance is not a guaranteed response-time or emergency-support commitment.

8. Hosting, Maintenance and Technical Support

Where hosting, maintenance or support is included in a subscription or service agreement, the applicable scope will be specified in the relevant quotation or agreement.

Services may include:

  • Website hosting.
  • SSL configuration.
  • Routine software updates.
  • Maintenance and troubleshooting.
  • Basic performance monitoring.
  • Backups, where specified.
  • Technical support.

Hosting and maintenance do not guarantee uninterrupted availability.

Service availability may be affected by:

  • Third-party hosting providers.
  • Domain registrars.
  • Internet service providers.
  • Payment processors.
  • External APIs.
  • Security incidents.
  • Scheduled maintenance.
  • Events outside our reasonable control.

Any specific uptime commitments, backup frequency, recovery objectives or support response times must be stated in a separate service-level agreement or written service agreement.

9. Cancellation, Termination and Buyout Options

Customers may cancel subscriptions in accordance with the cancellation terms stated in their applicable subscription agreement.

Unless otherwise agreed, cancellation does not automatically entitle a customer to a refund for services already delivered, completed setup work or subscription periods already consumed.

9.1 Standard Cancellation

Under the standard cancellation arrangement:

  • The customer may request cancellation in accordance with the agreed notice period.
  • Outstanding invoices and other contractual obligations remain payable.
  • Eligible customer content and business data may be exported in accordance with the agreed export process.
  • Access to hosted services may end after the applicable cancellation or transition period.
  • Section 4 may retain reusable platform components, frameworks, tools and underlying technology.

Any export deadlines, available formats, associated charges and transition arrangements will be communicated in the applicable agreement.

9.2 Optional Buyout

A separate buyout arrangement may be offered where a customer wishes to acquire additional rights or take over a solution beyond the standard subscription arrangement.

Buyout availability, pricing, deliverables and intellectual property rights will be determined separately and confirmed in writing.

A buyout is not automatically included in a subscription.

9.3 Customer Data and Content

Subject to applicable law and contractual rights, customers retain ownership of their original business content, branding, media and business data.

Section 4 retains ownership of its pre-existing platforms, reusable software, frameworks, tools, templates and general development methods unless otherwise agreed.

10. Custom Software and Development Projects

Custom development projects may include:

  • Bespoke software applications.
  • Mobile applications.
  • Web applications.
  • Marketplaces.
  • AI-powered applications.
  • Business automation systems.
  • Custom integrations.
  • Enterprise systems.

Custom projects are subject to an individually agreed scope, quotation and payment structure.

Depending on the project, arrangements may include:

10.1 Milestone-Based Payments

Payments are made according to agreed project milestones and deliverables.

10.2 Structured Development Subscriptions

Qualifying projects may be delivered through agreed recurring development payments over a defined period.

10.3 Implementation and Recurring Services

Projects may involve an initial implementation or configuration fee followed by recurring fees for hosting, platform access, maintenance, management or other ongoing services.

The applicable arrangement must be confirmed in writing.

11. Intellectual Property Rights

Unless expressly agreed otherwise in writing, Section 4 Solutions retains ownership of its pre-existing intellectual property and reusable technology.

This may include:

  • Software frameworks.
  • Reusable code libraries.
  • Development tools.
  • Templates.
  • Internal systems.
  • General-purpose modules.
  • Technical processes.
  • Automation frameworks.
  • Reusable platform architecture.
  • Proprietary methods and know-how.

11.1 Customer Materials

Customers retain ownership of materials they provide to us, including:

  • Logos.
  • Brand assets.
  • Original text and media.
  • Business information.
  • Product information.
  • Customer-provided datasets.

Customers grant Section 4 a limited licence to use these materials only as reasonably necessary to deliver the agreed services.

11.2 Project Deliverables

Ownership and licensing arrangements for project-specific deliverables will be defined in the applicable proposal, statement of work or service agreement.

Unless expressly agreed otherwise, payment for a service does not automatically transfer ownership of Section 4's underlying reusable codebase, frameworks or proprietary technology.

11.3 Third-Party Software

Projects may use third-party software, libraries, plugins, APIs, fonts, media or other licensed materials.

Those materials remain subject to their respective third-party licence terms.

We cannot transfer ownership of third-party intellectual property that we do not own.

11.4 Portfolio and Project References

Unless a separate confidentiality arrangement or written restriction applies, Section 4 may identify completed projects in its professional portfolio and marketing materials.

We will not knowingly disclose confidential customer information or private business data when doing so.

Customers may request a confidentiality arrangement where appropriate.

12. Customer Responsibilities

Customers engaging our services agree to:

  • Provide accurate project information.
  • Supply required content and materials on time.
  • Ensure they have rights to materials submitted to us.
  • Provide necessary approvals and feedback.
  • Maintain the security of their own accounts and credentials.
  • Comply with applicable laws.
  • Ensure that customer-provided data has been lawfully collected and may be used for the intended project.
  • Avoid using our services for unlawful or harmful activities.

Delays caused by missing content, approvals, access credentials or other customer dependencies may affect project timelines.

13. Acceptable Use of Our Services

Customers must not use our services, platforms or infrastructure to:

  • Commit fraud.
  • Distribute malware.
  • Conduct phishing or unauthorised surveillance.
  • Violate intellectual property rights.
  • Distribute unlawful content.
  • Facilitate cyberattacks.
  • Engage in unauthorised access to computer systems.
  • Process personal information unlawfully.
  • Violate applicable export, sanctions or regulatory restrictions.

We reserve the right to investigate suspected misuse and take appropriate action, including restricting or terminating services where permitted by law and contract.

14. Third-Party Services and Integrations

Our solutions may integrate with third-party services, including:

  • Payment gateways.
  • Cloud hosting providers.
  • Domain registrars.
  • Email platforms.
  • Social media platforms.
  • Mapping services.
  • Analytics services.
  • AI providers.
  • External APIs and software platforms.

These services are independently operated.

Their availability, pricing, policies and functionality may change without our control.

Customers may be required to maintain their own third-party accounts, subscriptions or licences.

Third-party fees are not included in our quoted prices unless expressly stated.

We are not responsible for third-party interruptions or changes beyond our reasonable control.

15. Confidentiality

Each party agrees to take reasonable steps to protect confidential information received from the other party.

Confidential information may include:

  • Business strategies.
  • Financial information.
  • Customer information.
  • Technical documentation.
  • Source code.
  • Credentials.
  • Project specifications.
  • Commercial proposals.
  • Non-public operational information.

Confidential information should not be disclosed to unauthorised parties except where required by law or necessary to deliver the agreed services under appropriate confidentiality obligations.

These obligations do not generally apply to information that is publicly available through no breach of confidentiality, already lawfully known or independently developed without using confidential information.

Separate non-disclosure agreements may be used where appropriate.

16. Warranties and Service Limitations

We will use reasonable professional skill and care when providing our services.

However, unless expressly agreed in writing:

  • We do not guarantee specific commercial outcomes.
  • We do not guarantee search engine rankings.
  • We do not guarantee a particular level of website traffic, revenue or customer conversion.
  • We do not guarantee uninterrupted operation of third-party platforms.
  • We do not guarantee that all software will be entirely free from defects.
  • We do not guarantee that a system will be immune from cyberattacks or unauthorised access.

Any specific warranties, acceptance criteria, performance requirements or service commitments must be documented in the applicable project agreement.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Section 4 Solutions will not be liable for indirect, incidental, special or consequential losses arising from the use of our website or services.

This may include loss of profits, business opportunities, anticipated savings, reputation or data, where such exclusions are legally permissible.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Any contractual limitation of liability for a particular project or subscription will be stated in the applicable agreement.

Customers remain responsible for maintaining appropriate copies of their important business content and data, subject to any backup obligations expressly accepted by Section 4.

18. Suspension and Termination

We may suspend or terminate access to a service where:

  • Required payments remain outstanding.
  • The customer materially breaches an applicable agreement.
  • The service is used unlawfully.
  • Continued operation presents a material security risk.
  • A third-party provider requires suspension.
  • We are legally required to suspend the service.

Where reasonably possible, we will provide notice and an opportunity to address the issue.

Suspension or termination does not remove payment obligations that accrued before the suspension or termination date.

Additional termination procedures may be set out in a separate agreement.

19. Privacy and Data Protection

Our handling of personal information is explained in our Privacy Policy.

By using our website, you acknowledge that personal information may be processed in accordance with that policy and applicable data protection legislation.

Where Section 4 processes personal information on behalf of a customer, additional data processing terms may apply.

20. Changes to These Terms

We may revise these Terms periodically to reflect changes in our business, services, technology or legal obligations.

The latest version will be published on our website with an updated effective date.

Changes to an existing customer's commercial agreement will be handled in accordance with that agreement and applicable law.

Continued use of our website after changes take effect constitutes acceptance of the revised website Terms, to the extent permitted by applicable law.

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana, unless a separate written agreement provides otherwise or mandatory applicable law requires a different result.

Where a dispute arises, the parties should first attempt to resolve it through good-faith discussions.

If the dispute cannot be resolved informally, either party may pursue the remedies available through the competent courts or other legally recognised dispute resolution mechanisms in Ghana.

Nothing in this section prevents a customer from exercising mandatory consumer or legal rights available in their jurisdiction.

22. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent legally permissible.

23. Entire Agreement

These Terms govern general use of the Section 4 Solutions website.

They do not replace a separately accepted quotation, subscription agreement, statement of work, service-level agreement or other project-specific contract.

Where a specific agreement conflicts with these general Terms, the specific agreement will govern the relevant engagement to the extent of the conflict.
